Training Non-Compete & Material Protection Agreement

1. Parties

This Agreement is entered into between SmartThink LLC (USA) and SmartThink Ghana (collectively "SmartThink") and the enrolling student ("Student").

2. Purpose

This Agreement protects SmartThink’s proprietary training materials, intellectual property, business model, and competitive interests.

3. Non-Compete Covenant (5 Years)

For a period of five (5) years from the date of enrollment, Student agrees not to directly or indirectly:

• (a) Reproduce, copy, distribute, sell, license, or share SmartThink training materials with non-SmartThink students;
• (b) Use SmartThink proprietary materials to establish or support a competing training program;
• (c) Solicit SmartThink students for competing educational services.

4. Confidentiality

All course materials, frameworks, presentations, digital content, methodologies, and related materials are confidential and proprietary. Unauthorized use or distribution is strictly prohibited.

5. Intellectual Property

All intellectual property rights remain exclusively with SmartThink. No ownership rights are transferred to Student.

6. Remedies

Breach of this Agreement may result in injunctive relief, damages, recovery of legal fees, and other remedies permitted under applicable law in the United States, Ghana, or applicable European jurisdiction.

7. Governing Law

This Agreement shall be governed by the laws of the jurisdiction where the student enrolls, unless otherwise contractually specified.

8. Student Acknowledgment

By signing or electronically accepting prior to enrollment, Student acknowledges understanding and acceptance of this Agreement.
